The securities that we offer in the list are owned by the Issuing banks themselves and not by any private seller, and they are all traded in the major European Stock Exchanges at about Par Value or higher. They have never been sold out yet to any other entity…… Any Buyer could buy the securities directly from the Stock Exchange operator at a high market value, but not at a discount.…. Since the securities are actively traded there is no option to conduct the sell on a bank to bank basis.
In order to download the securities off the Stock Exchange and to change their status from public trading into private placement sell, the Buyer must pay a Call Option in the amount of 0.010% of the first tranche/agreement (amount of which is refunded to the buyer at the end of the transaction) with a minimum of Euro-19,000 for any less first tranche than Euro-200M…..
If your buyers wish to purchase any of these securities, they will have to meet in full all the terms, conditions and procedures as in the guideline. These terms are not negotiable or changeable. The nature of this sell/purchase of securities cannot be done on a Desk-to-Desk or Officer-to-Officer, but it is manages by the Swift messaging system only or by certified email messages, subject to the agreement terms and conditions.
Once we confirm the application, we send a duly signed agreement to the buyer, who may conduct his due diligence and decide if he proceeds with the Call Option payment or disengaged. If payment of the Call Option is done, a Corporate Invoice is issued within 5-10 banking days.
LOI and FPA will be provided only if your Buyer agrees to meet in full with all the terms, conditions and procedures. This procedure is not negotiable.
